SOFTWARE LICENSE AGREEMENT
This Software License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Broad Solution Netherlands ("Licensor," "We," or "Us") for the use of the HyperPlayer software ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.
1. GRANT OF LICENSE
Subject to the terms of this Agreement, Broad Solution Netherlands grants you a limited, non-exclusive, non-transferable license to install and use the Software on a single Apple-branded computer or device that you own or control. This license does not allow you to use the Software on any device that you do not own or control.
1.1 Personal License
The Personal License is intended for non-commercial use or for businesses with annual revenues below €50,000.
Under the Personal License, you may use the Software for personal or small-scale purposes only.
1.2 Business License
The Business License is required for any commercial use or for businesses with annual revenues of €50,000 or more.
If your business exceeds the €50,000 annual revenue threshold, you must purchase a Business License to continue using the Software legally.
The Business License may include additional features, support, or other benefits as specified by Broad Solution Netherlands.
2. RESTRICTIONS
You may not:
Copy, modify, adapt, or create derivative works of the Software.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
Distribute, sublicense, lease, rent, or sell the Software to any third party.
Remove or alter any copyright, trademark, or other proprietary notices contained in the Software.
Use the Software for commercial purposes or in a business with annual revenues of €50,000 or more without purchasing a Business License.
3. OWNERSHIP
The Software is licensed, not sold. Broad Solution Netherlands retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or logos of Broad Solution Netherlands.
4. SUPPORT AND UPDATES
Broad Solution Netherlands may, at its sole discretion, provide updates, bug fixes, or other support for the Software. You are not entitled to any specific level of support or updates under this Agreement. For support inquiries, please contact us at support@broadsolutions.nl.
5. TERMINATION
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.
6. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. BROAD SOLUTION NETHERLANDS DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BROAD SOLUTION NETHERLANDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SOFTWARE.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Broad Solution Netherlands regarding the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
10. GDPR COMPLIANCE AND DATA PRIVACY
The Software does not collect, store, or process any personal information from users.
The Software does not connect to any external servers, databases, or third-party services, except for the on-premise HyperDeck device for which it is designed.
Broad Solution Netherlands is committed to complying with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Since the Software does not collect or process personal data, no additional data protection measures are required for its use.
11. REVENUE THRESHOLD AND COMPLIANCE
You are responsible for determining whether your use of the Software qualifies as personal or business use under this Agreement.
If your business exceeds the €50,000 annual revenue threshold, you must purchase a Business License within 30 days of reaching this threshold.
Broad Solution Netherlands reserves the right to audit or request proof of compliance with the revenue threshold. Failure to comply may result in termination of your license and legal action.
